Vector NTI® User Community Terms and Conditions of Use

Open Access Policy

Invitrogen Corporation's ("Invitrogen") quest is to improve the human condition by providing the highest quality tools, services, content and products to every researcher around the world. Invitrogen's tools include Vector NTI® software, the industry-leading desktop sequence analysis, data management, and experimental planning application for molecular biology.

The Vector NTI® User Community ("User Community") is the online focal point for users of Invitrogen software. The User Community provides license management, technical information, data, training and other forms of general support associated with Vector NTI®.

Invitrogen's commitment to enabling cutting edge research includes the Vector NTI® Open Access policy. This policy provides free access to the full versions of Vector NTI® desktop software for researchers in non-profit labs, under the conditions specified below.

The goal of the User Community is to be the most effective meeting place for scientists doing DNA and protein sequence analysis, and its success depends on your active participation. Invitrogen hopes you will join and engage with your peers and with us!

The following "Terms and Conditions" govern your use of the User Community and Forums (described below) and describe the proper kinds of conduct and prohibited uses of the User Community and Forums. These Terms and Conditions are not exhaustive and Invitrogen reserves the right to change them at any time and without prior notice. By registering as a user or using the User Community and/or Forums, you agree to abide by these Terms and Conditions as modified from time to time. Any violation of these Terms and Conditions may result in the suspension or termination of your right to access the User Community and/or Forums.

Membership is FREE and is open to all life scientists.

To join, you must register with Invitrogen and provide all requested information. Invitrogen retains the right to verify subscriber information before providing access to the User Community or Invitrogen's online catalog. This verification process may take up to three (3) business days.

All scientists may take advantage of the numerous technical resources found in the eSupport section of the User Community, including free downloads of technical documents and of software (running in Demo Mode).

Eligible non-profit researchers may request one (1) FREE Academic Static License for each of the Windows® and the Mac OS X versions of Vector NTI® desktop software for their own personal research use each year. Each Academic Static License can be used to register up to three (3) different computers. Each registered computer can be re-registered only once during the course of a year.

If you are an eligible non-profit researcher, to obtain a free Academic Static License, you must "purchase" either the Academic Vector NTI Advance™ or the Academic Vector NTI Suite® for Mac OS X application (collectively, the "Academic Applications"), or both, using Invitrogen's online catalog. The Academic Applications are fully functional and are provided at a $0 price, and you will obtain a unique Academic Static License Number that can be used to register up to three (3) computers.

Each Academic Static License will expire at the end of one (1) year. When the Academic Static License expires, the registered Vector NTI® software automatically reverts to Demo Mode. In this mode, it is not possible to import any additional data into Vector NTI®. To prevent your software from reverting to Demo Mode, simply "purchase" a new Academic Static License each year. The details of your personal Academic Static Licenses are displayed in the Support Center of the User Community. Renewals of Academic Static Licenses are FREE.

IT IS EACH ELIGIBLE NON-PROFIT RESEARCHER'S RESPONSIBILITY TO MAINTAIN HIS/HER ACADEMIC STATIC LICENSE ANNUALLY. INVITROGEN ACCEPTS NO RESPONSIBILITY FOR THE AVAILABILITY, OR LACK THEREOF, OF ANY IDNIVIDUAL'S DATA STORED IN VECTOR NTI®, AS A RESULT OF THE SOFTWARE REVERTING TO DEMO MODE, FOR WHATEVER REASON.

Commercial researchers may purchase a Commercial Vector NTI Advance™ or Commercial Vector NTI Suite® for Mac OS X static license (collectively, "Commercial Static Licenses") through Invitrogen's online catalog. Commercial Static Licenses are perpetual for the purchased version, and do not need to be renewed. Commercial researchers wishing to upgrade to a later version of Vector NTI® software may purchase an upgrade, or obtain the upgrade at no charge with an active Advanced Support Contract (see below).

Commercial researchers may purchase an Advanced Support Contract with the purchase of a Commercial Static License. Pursuant to an Advanced Support Contract, a commercial researcher will receive personalized technical support by telephone and email from Invitrogen's Bioinformatics Technical Support team. In addition, if Invitrogen releases an upgrade to the Vector NTI® software during the term of an Advance Support Contract, customers with an active Advanced Support Contract will receive the upgrade at no charge. However, nothing obligates Invitrogen to release updated or upgraded versions of Vector NTI® software in any given time period or to any customer with an Advanced Support Contract.

The Vector NTI® software available through the Academic Static License is identical in functionality to the Vector NTI® software offered through the Commercial Static License. The only difference is that the Academic Static License is offered free of charge to eligible non-profit researchers. Use of the Vector NTI® software is governed by a separate End-User License Agreement ("Vector NTI® EULA"). The Vector NTI® EULA is presented to you during the software installation process, and you must affirmatively agree to the Terms and Conditions of the Vector NTI® EULA in order to use the Vector NTI® software. If you chose not to agree to the terms of the Vector NTI® EULA, you will not be able to complete the installation process and the Vector NTI® software will not function.

ALL FREE TECHNICAL SUPPORT FOR VECTOR NTI® IS AVAILABLE EXCLUSIVELY THROUGH THE eSUPPORT SECTION OF THE USER COMMUNITY. ELIGIBLE NON-PROFIT RESEARCHERS REQUIRING PERSONALIZED AND INDIVIDUALIZED TECHNICAL SUPPORT BY TELEPHONE AND EMAIL FOR ANY ASPECT OF VECTOR NTI® SOFTWARE MUST PURCHASE AN ANNUAL ACADEMIC VECTOR NTI® SUPPORT CONTRACT.

Invitrogen does not guarantee that it will provide updated versions of Vector NTI® software in any given period of time. There is no guarantee that the Vector NTI® software will be compatible with new operating systems, and there is no guarantee that Invitrogen will update Vector NTI® software to run on new versions of operating systems.

Network traffic, system maintenance and other conditions may make the User Community and/or Forums unavailable at certain times. Invitrogen does not guarantee that the User Community and/or Forums will be available to all researchers at all times.

INVITROGEN RETAINS THE RIGHT TO DISCONTINUE THE USER COMMUNITY AND/OR THE OPEN ACCESS POLICY AT ANY TIME WITHOUT PRIOR NOTICE.

When you join the User Community, you automatically agree to receive technical bulletins, data and marketing communications about Vector NTI® and related products that Invitrogen may send by electronic means from time to time. Once you register you will have the option to opt out of our email address list.

Discussion Board Forum:

Registration

The User Community also contains discussion board forums ("Forums"). Use of the Forums requires a separate and additional registration. To register you must select a unique user name or "handle" and provide a unique, valid e-mail address. Duplicate user names and e-mail addresses are not allowed, so if the name or address you enter is already in use, you will be prompted to choose another one. Note that Invitrogen may choose to use your real name rather than a user name or "handle" to identify you as the poster of messages within a Forum.

To prevent any member from using another user's handle, each Forum member's account is password protected with e-mail verification. When you register, a randomly generated password will be sent to the e-mail address you provide. Once you have received your password, you may edit your profile to change it to one of your choice. You may also change the e-mail address in your profile. However, if you do, a new, randomly generated password will be sent to that address. Entering an invalid e-mail address will cause your user name to become unusable by anyone, including yourself, until the information in your account is manually corrected by a moderator or administrator.

Forum Moderators and Administrators

Any message posted on a Forum expresses only the views of the author of the message and does not necessarily reflect the views of Invitrogen or any person or entity associated with Invitrogen. Invitrogen will use moderators ("Forum Moderators") and administrators ("Forum Administrators") to monitor the content and appearance of posted messages on the Forums. However, considering the real-time nature of the Forums, it is impossible for the Forum Administrators and Forum Moderators to monitor or review every message. Therefore, you agree that Invitrogen, its subsidiaries and affiliates, and its and their officers, directors, employees and agents will be not be held responsible for the contents, accuracy, completeness or validity of any posted information. Only the Forum Moderator and/or Forum Administrator are authorized representatives of Invitrogen on the Forums. Invitrogen employees and/or agents who are not assigned as Forum Moderator or Forum Administrator are not authorized to represent themselves on the Forums as Invitrogen employees and/or agents, and do not provide official Invitrogen responses to questions. Invitrogen is not responsible for content provided by any anyone who is not designated as a Forum Moderator or Forum Administrator. Although the Forums are moderated by Invitrogen employees and/or agents, the Forums are intended only as a way for eligible participants to get answers from other eligible participants, and not to get answers from Invitrogen.

Hyperlinks

The Forums permit users to post hypertext links to content hosted and maintained by third parties. Although linked sites are not generally reviewed by Forum Moderators, links are subject to treatment like any other type of content posted to a Forum. You may not include a link in a Forum that directs users to any content or information that, if posted in a Forum, would constitute a violation of these Terms or Conditions. The linked sites are not moderated by Invitrogen, are not under Invitrogen's control and your access to any linked site is at your own risk. When leaving a Forum using any link provided by a user, you should be aware that Invitrogen's Terms and Conditions no longer govern. Invitrogen makes no claim or representation regarding, and accepts no responsibility for, the quality, content, nature or reliability of sites accessible by hyperlink from a Forum. The ability to include links is provided only as a convenience to you, and the inclusion of any link by a user of forum does not imply af filiation, endorsement, or adoption by Invitrogen of the linked site or any information contained therein.

Enforcement

Invitrogen has the ability-and retains the right-to edit and/or remove any messages for any reasons at its sole discretion. Any user who believes that a posted message is objectionable is encouraged to contact Invitrogen by e-mail at forumsmoderator@invitrogen.com. Upon receipt of such notification, Invitrogen will make every effort to take such action as it deems necessary within a reasonable period of time. Since this is a manual process, you are advised that Invitrogen may not be able to remove or edit particular messages immediately.

Invitrogen reserves the right to reveal your identity and any other information Invitrogen may know about you when Invitrogen believes release of such information is appropriate to comply with the law; to enforce or apply these Terms and Conditions or the Rules of Conduct; to protect Invitrogen's rights or property; or to protect other User Community and/or Forum users from fraudulent, abusive, or unlawful use of the Forums. Deliberate attempts by you or someone on your behalf to circumvent your suspension or termination of your right to use the Forums violates these Terms and Conditions and constitutes an unlawful trespass to Invitrogen's equipment and systems, and may result in legal action.

Rules of Conduct

Participation in the Forums is governed by the following rules of conduct:

Please be polite when posting to the Forums. Respect other members and their points of view. All conversations should have one specific topic, and as such should remain on that topic. Any new topic should be started as a new thread or brought to a Forum Moderator's attention.

Do not use a Forum to "chat" or make personal commentary with other scientists. Only constructive discussion is allowed. "On-line chats" are not allowed.

Posting any material containing advertising or solicitation for goods and services is prohibited.

You may not use the Forums to distribute chain letters, mass mailings or "spam" or to gather e-mail addresses for the purpose of sending "spam" to other users.

You may not post or transmit any software or other material which contains a virus or other harmful code or device.

You agree that you will not use the Forums to post any material, or links to any material, which is knowingly false and/or defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, profane, sexually oriented, threatening, invasive of a person's privacy, or otherwise in violation of any law.

The views, findings, contributions and opinions expressed in the Forums do not necessarily represent the views or opinions of Invitrogen, its affiliates or their agents, officers or employees and should not be considered to be guidance, advice, or recommendations from Invitrogen. The Forums are open forums and any similarity in view, finding, or opinion of a user with Invitrogen is purely coincidental and not intended unless specifically claimed.

Certain trademarks used in the Forums are the property of Invitrogen and should be used correctly as trademarks and not as common names. Invitrogen will vigorously defend any misuse of its trademarks and will not tolerate any infringement of these rights, in any unauthorized format, in any media, for any use, commercial or otherwise. Notwithstanding the foregoing, Invitrogen disclaims responsibility for the content of non-Invitrogen users' contributions to the Forums.

You agree that you will not post to any Forum any material that infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any person or entity.

Invitrogen does not warrant or guarantee the accuracy, reliability, completeness, usefulness, non-infringement of intellectual property rights, or quality of any content on the Forums, regardless of who originates that content. You expressly understand and agree that you bear all risks associated with using or relying on that content. Invitrogen will not be liable or responsible in any way for any content posted on or linked from the Forums or in private messages, including, but not limited to, any errors or omissions in content, or for any losses or damage of any kind incurred as a result of the use of or reliance on any content.

You agree that you are solely responsible for the content of your messages, and that you will indemnify and hold harmless Invitrogen, its subsidiaries and affiliates, and its and their agents, officers and employees with respect to any claim, loss, damage, liability, action, expense, lawsuit or demand arising out of or resulting from your use of the User Community and/or Forums.

Invitrogen, at its own discretion, may bar registration from any specific e-mail service or ISP.
